Effective Date: September 3, 2026 · Merchant of Record: Dodo Payments, Inc.
These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Customer," "User," "you," or "your") and the operator of Curtly ("Curtly," "we," "us," or "our"), governing your access to and use of the website located at curtly.dev, the Curtly application programming interface ("API"), any software development kits, command-line tools, browser extensions, sample code, and documentation distributed by Curtly, and any other product, feature, or service offered by Curtly from time to time (collectively, the "Service").
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.
By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms, you must discontinue use of the Service immediately and refrain from creating an account.
You represent and warrant that: (a) you are at least eighteen (18) years of age or the age of majority in your jurisdiction of residence, whichever is greater; (b) you have the legal capacity to enter into a binding contract; (c) you are not barred from using the Service under applicable law in your jurisdiction; and (d) your use of the Service will comply with all applicable laws and regulations.
Curtly reserves the right to refuse service, terminate accounts, or cancel orders in its sole discretion, including where we suspect fraud, abuse, violation of these Terms, or activity that may expose Curtly or its users to legal liability.
Curtly is operated by an individual person (the "Operator") and does not, as of the Effective Date, operate through a separately incorporated company. References in these Terms to "Curtly," "we," "us," and "our" refer to the Operator trading as Curtly. Because the Service is not operated through a limited-liability entity, the Operator bears personal responsibility for the obligations undertaken under these Terms, without the separation of personal and business liability that incorporation would ordinarily provide, subject to the limitations and exclusions set out in Sections 11, 12, and 13 to the extent enforceable under applicable law.
Should the Operator's business be transferred to a duly incorporated company or other legal entity, these Terms will be updated to reflect the successor entity, and notice will be provided in accordance with Section 15.
Curtly has engaged Dodo Payments, Inc. ("Dodo Payments"), a Delaware corporation, to act as our exclusive authorized reseller and Merchant of Record ("MoR") for all paid subscriptions, one-time credit purchases, and other commercial transactions made available through the Service. Dodo Payments' status as Merchant of Record means that Dodo Payments, and not Curtly, is the seller of record for tax, payment-processing, and consumer-protection purposes in connection with your purchase. Dodo Payments' status as Merchant of Record does not, by itself, make Curtly a Delaware entity or otherwise change the Operator's own legal status as described in Section 2; it is limited strictly to the payment, tax, and billing functions described in this Section 3.
Order processing and checkout. All checkout flows, payment capture, and order confirmation for paid Curtly plans are performed on Dodo Payments' infrastructure.
Payment processing. Dodo Payments processes your payment instrument (credit card, debit card, or other supported payment method) directly. Curtly never receives, transmits, or stores your full payment card number, card verification value, or bank account credentials.
Tax determination and remittance. Dodo Payments calculates, collects, and remits applicable indirect transaction taxes, including United States sales and use tax, European Union and United Kingdom value-added tax (VAT), Goods and Services Tax (GST), and other statutory levies, in 190+ jurisdictions where Dodo Payments maintains tax-collection obligations.
Invoicing and billing records. Your official receipt, invoice, and transaction history are issued by and available through Dodo Payments.
Billing disputes and chargebacks. Dodo Payments, together with the applicable card network and issuing bank, administers billing disputes, chargebacks, and fraud monitoring for transactions processed on its platform.
Your credit card, bank, or payment application statement will reflect a transaction descriptor associated with Dodo Payments, such as "DODO*CURTLY" or "DODOPAYMENTS" (or a substantially similar descriptor), rather than "Curtly" directly. All billing inquiries, payment-method updates, invoice retrieval, and subscription-level adjustments may be managed through your Curtly billing settings or the Dodo Payments customer portal.
Notwithstanding Dodo Payments' role as Merchant of Record, Curtly remains solely responsible for the provision, functionality, support, and technical performance of the Service itself. Dodo Payments is not responsible for, and assumes no liability in connection with, the operation of the Curtly API, the accuracy of compression outputs, or Curtly's compliance with these Terms.
Curtly provides programmatic large language model ("LLM") context and prompt compression middleware. The Service is designed to reduce input token counts submitted to downstream LLM providers through deterministic abstract syntax tree ("AST") code vaulting, syntactic purge routines, conditional entropy heuristics, and related proprietary techniques (collectively, the "Compression Engine").
The Service may be accessed through the Curtly REST API, official software development kits, or the Curtly web-based workbench. Curtly may, in its sole discretion, modify, suspend, or discontinue any feature, functionality, or component of the Service, in whole or in part, at any time, with or without notice, provided that Curtly will use commercially reasonable efforts to notify paying Customers in advance of any change that materially reduces the core functionality of a purchased subscription tier.
Curtly does not guarantee any specific compression ratio, latency figure, or downstream LLM output quality, and all performance figures published on the Service's marketing pages, documentation, or dashboard are illustrative benchmarks rather than contractual commitments, except where expressly stated as a Service Level Commitment in an executed order form or enterprise agreement.
Subject to your continued compliance with these Terms and timely payment of applicable fees, Curtly grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your own internal business or personal purposes, and solely within the usage quotas, rate limits, and feature entitlements associated with your subscription tier.
This license does not include, and you may not, directly or indirectly:
copy, modify, adapt, translate, or create derivative works based on the Service or any underlying software;
reverse engineer, decompile, disassemble, or otherwise attempt to derive or reconstruct the source code, algorithms, models, heuristics, or trade secrets underlying the Compression Engine, except to the limited extent such restriction is prohibited by applicable law;
rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer rights in the Service to any third party without Curtly's prior written consent;
remove, obscure, or alter any proprietary notice, trademark, or attribution appearing on or within the Service;
use the Service to build, train, or benchmark a directly competing product or service; or
use any automated means (including bots, scrapers, or crawlers) to access the Service except through the documented API in accordance with your applicable rate limits.
All rights not expressly granted to you in these Terms are reserved by Curtly and its licensors.
To access most features of the Service, you must register for an account and, where applicable, generate one or more API keys. You agree to provide accurate, current, and complete registration information and to keep such information up to date.
You are solely responsible for safeguarding your account credentials and API keys and for all activities that occur under your account. Any request executed using your API key is deemed to be authorized by you, regardless of whether you personally initiated the request. You must notify Curtly immediately at support@curtly.dev upon becoming aware of any unauthorized access to your account, any suspected breach of security, or any loss or theft of an API key.
Curtly reserves the right to rotate, suspend, or revoke any API key that we reasonably believe has been compromised, is being used in violation of these Terms, or presents a security or abuse risk to the Service or to other Customers, and will use commercially reasonable efforts to notify you promptly of any such action.
You agree that you will not, and will not permit any third party to, use the Service to:
execute or facilitate denial-of-service (DoS), distributed denial-of-service (DDoS), or other attacks intended to degrade or disrupt the Service or the infrastructure supporting it;
probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure, rate limit, or usage quota;
scrape, harvest, or access unauthenticated or non-public endpoints, data, or infrastructure;
transmit, process, or store any content that is unlawful, fraudulent, defamatory, obscene, harassing, hateful, or that infringes the intellectual property, privacy, or other rights of any third party;
transmit malicious code, including viruses, worms, trojan horses, or other harmful computer code, files, or programs;
use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service; or
resell, sublicense, meter, or redistribute direct programmatic access to the Service to any third party without Curtly's prior written consent, whether for consideration or otherwise.
Curtly reserves the right, but has no obligation, to monitor aggregate usage telemetry (as described in our Privacy Policy) for the purpose of detecting abuse, enforcing rate limits, and maintaining the security, integrity, and availability of the Service. Consistent with our zero-storage architecture described in the Privacy Policy, Curtly does not inspect, log, or retain the substantive content of your prompts or payloads in the course of this monitoring.
Violation of this Section 7 may result in immediate suspension or termination of your account, in addition to any other remedies available to Curtly at law or in equity.
Paid subscriptions to the Service are billed in advance on a recurring basis, either monthly or annually, as selected by you at checkout, and processed by Dodo Payments as Merchant of Record. Except as otherwise expressly stated in an order form, all subscriptions automatically renew at the end of each billing cycle for a successive period of the same duration, at Curtly's then-current pricing, unless you cancel your subscription prior to the renewal date.
You may cancel your subscription at any time through your Curtly billing settings or the Dodo Payments customer portal. Upon cancellation, your access to paid features of the Service will remain active through the end of the then-current paid billing period, after which your account will automatically revert to the free tier (if available) or be suspended, at Curtly's discretion. Cancellation does not, by itself, entitle you to a refund for the then-current billing period; refund eligibility is governed exclusively by our Refund Policy.
Curtly reserves the right to modify the pricing of any subscription tier upon no less than thirty (30) days' prior notice to active subscribers, which notice may be provided by email, in-product notification, or posting to curtly.dev. Continued use of the Service after a pricing change takes effect constitutes acceptance of the new pricing for subsequent billing cycles.
The Service, including without limitation the Compression Engine, all software, source code, object code, algorithms, models, user interfaces, visual designs, documentation, and the Curtly name, logo, and trademarks (collectively, the "Curtly IP"), are and will remain the exclusive property of Curtly and its licensors. Nothing in these Terms transfers any ownership interest in the Curtly IP to you.
As between you and Curtly, you retain all right, title, and interest in and to the content, code, and data you submit to the Service for processing ("Customer Content"). You grant Curtly a limited, non-exclusive, worldwide license to process Customer Content solely to the extent necessary to provide the Service to you, in accordance with the zero-storage and no-training commitments described in our Privacy Policy. Curtly does not claim ownership of Customer Content and does not use Customer Content to train, fine-tune, or evaluate any machine learning model, whether proprietary to Curtly or operated by a third party.
Any feedback, suggestions, or ideas you voluntarily submit to Curtly regarding the Service may be used by Curtly without restriction or compensation to you.
The Service is designed to interoperate with, and to reduce token consumption in connection with, large language models and application programming interfaces operated by independent third-party providers, including without limitation OpenAI, Anthropic, and Google (each, a "Downstream Provider"). Your use of any Downstream Provider is governed exclusively by that provider's own terms of service, acceptable use policy, and privacy policy, and Curtly is not a party to, and assumes no responsibility under, your agreement with any Downstream Provider.
Curtly does not control, and is not responsible for, the availability, pricing, output quality, or policy changes of any Downstream Provider, and any interruption, deprecation, or modification of a Downstream Provider's API may affect the functionality of the Service.
While Curtly engineers its pipeline with the objective of deterministic code preservation and low-latency processing, Curtly does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results obtained from use of the Service, including any downstream output generated by a Downstream Provider using compressed input, will meet your expectations or achieve any particular accuracy, fidelity, or performance metric.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the foregoing exclusions may not apply to you, in which case such warranties are limited to the shortest period and narrowest scope permitted by applicable law. Nothing in this Section 11 limits any statutory warranty that cannot be excluded under the mandatory consumer-protection law of your country of habitual residence.
The limitations in this Section 12 will apply even if any limited remedy fails of its essential purpose, and reflect a reasonable allocation of risk between the parties that forms an essential basis of the bargain between you and Curtly. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you in full. As described in Section 2, because Curtly is operated by an individual rather than a limited-liability entity, these limitations are the primary means by which the Operator's exposure is contractually constrained, and you should factor this into your decision to use the Service for purposes involving material financial or operational risk.
You agree to defend, indemnify, and hold harmless Curtly (that is, the Operator, as described in Section 2) from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of, or access to, the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or contractual right; or (d) any Customer Content transmitted through the Service by you or through your account.
These Terms remain in effect for as long as you use the Service. Curtly may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause and with or without notice, including where Curtly reasonably believes you have violated these Terms, engaged in fraudulent or abusive conduct, or where required to do so by law.
You may terminate these Terms at any time by discontinuing use of the Service and cancelling your subscription through your Curtly billing settings or the Dodo Payments customer portal. Sections 5 (License Grant and Restrictions), 9 (Intellectual Property Rights), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), and 18 (Dispute Resolution and Governing Law) will survive any termination or expiration of these Terms.
Curtly reserves the right to modify these Terms at any time. Where changes are material, Curtly will provide notice by email to the address associated with your account, by in-product notification, or by posting a notice on curtly.dev at least fourteen (14) days prior to the change taking effect. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Service and cancel your subscription.
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a comprehensive trade embargo under European Union, United States, or United Nations sanctions regimes, and that you are not listed on any applicable sanctions or restricted-party list, including the EU Consolidated Sanctions List and the U.S. Department of Treasury's Specially Designated Nationals List. You agree to comply with all applicable export control and economic sanctions laws and regulations in connection with your use of the Service.
Neither party will be liable for any failure or delay in the performance of its obligations under these Terms (other than payment obligations) to the extent such failure or delay is caused by circumstances beyond that party's reasonable control, including without limitation acts of God, natural disaster, war, terrorism, civil unrest, labor disputes, governmental action, internet or telecommunications failures, or failures of third-party infrastructure providers or Downstream Providers.
Before initiating any formal dispute resolution proceeding, you agree to first contact Curtly at support@curtly.dev and attempt in good faith to resolve the dispute informally for a period of no less than thirty (30) days.
Curtly is operated by an individual resident in the European Union. Accordingly, these Terms, and any non-contractual dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the Member State of the European Union where the Operator resides, without regard to its conflict-of-laws principles.
If you are a consumer habitually resident in a European Union or European Economic Area member state, the foregoing choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of your own country of habitual residence, which continue to apply to the extent they are more favorable to you, in accordance with Article 6 of Regulation (EC) No 593/2008 (Rome I).
Subject to Section 18.4 below, the competent courts of the Member State of the European Union where the Operator resides will have jurisdiction to settle any dispute arising out of or in connection with these Terms. If you are a consumer resident in the European Union, you may alternatively bring proceedings before the competent courts of your own country of residence, in accordance with Regulation (EU) No 1215/2012 (Brussels I Recast) and applicable consumer-protection rules, and Curtly's designation of jurisdiction in this Section 18.3 does not deprive you of that right.
The European Union's centralized Online Dispute Resolution ("ODR") platform, formerly accessible at ec.europa.eu/consumers/odr, was discontinued by the European Commission with effect from 20 July 2025 pursuant to Regulation (EU) 2024/3228, and no longer accepts new complaints. If you are a consumer resident in the European Union and wish to pursue out-of-court resolution of a dispute, you may instead contact the alternative dispute resolution ("ADR") entity competent for your country of residence or sector. A current list of national ADR entities is maintained by the European Commission at consumer-redress.ec.europa.eu. Participation in ADR proceedings is voluntary on Curtly's part unless otherwise required by applicable law.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. Curtly's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
These Terms, together with our Privacy Policy and Refund Policy, and any order form or enterprise agreement executed between you and Curtly, constitute the entire agreement between you and Curtly with respect to the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written. You may not assign or transfer these Terms, by operation of law or otherwise, without Curtly's prior written consent. Curtly may assign these Terms in connection with a transfer of its business to an incorporated successor entity as described in Section 2, without your consent, provided the assignee assumes all obligations under these Terms.
All legal notices to Curtly under these Terms must be sent to support@curtly.dev. Curtly may provide notices to you via the email address associated with your account or through in-product notification. For all other inquiries regarding these Terms, please contact us at:
